General Terms and Conditions (GTC) - SaaS

These General Terms and Conditions ("GTC") govern the access and use of the Noxys AI Firewall platform and services provided by Noxys Security SAS ("Noxys").

1. Definitions​

  • Service: The Noxys SaaS platform, including the browser extension, agents, and API.
  • Customer: The legal entity subscribing to the Service.
  • Data: Any information processed by the Customer through the Service.

2. Subscription and Access​

  • Access is granted on a per-seat or per-tenant basis depending on the chosen Plan.
  • The Service is provided as a subscription (Monthly or Annual).
  • Customer is responsible for maintaining the confidentiality of its access credentials.

3. Service Level Agreement (SLA)​

  • Noxys commits to a service availability as defined in our SLA.
  • Support response times are tiered based on the subscription level (Starter, Business, Enterprise).

5. Intellectual Property​

  • Noxys retains all rights, title, and interest in and to the Service, including all software, algorithms, and documentation.
  • Customer is granted a non-exclusive, non-transferable license to use the Service during the subscription term.

6. Liability and Warranties​

  • Noxys provides the Service "as is" and "as available".
  • Noxys's total liability shall not exceed the amount paid by the Customer during the 12 months preceding the incident.

7. Termination​

  • Either party may terminate the subscription with a 30-day notice (subject to the specific terms of annual commitments).
  • Upon termination, Customer data will be handled according to our Data Deletion Policy.

8. Governing Law​

  • These GTC are governed by the laws of France. Any dispute shall be subject to the exclusive jurisdiction of the courts of Paris.
